Website content
Product, capacity, certification and lead-time information on this site is provided for general guidance. Figures are indicative until confirmed in a signed quotation. We may change the site, its content or these terms at any time.
Intellectual property
The site design, text, photographs and marks are owned by EUPHM or its licensors. You may view and print pages for internal business evaluation, but you may not republish, scrape or use them commercially without written permission.
Quotations
Quotations are valid for 30 days unless stated otherwise. They are subject to raw-material availability, final specification approval and the volume and packaging stated in the quotation. A quotation is not an offer capable of acceptance until we confirm it in writing.
Orders
An order is accepted only when we issue a written order confirmation. The confirmation, the approved specification and the approved artwork form the contract. Purchase-order terms that conflict with our confirmation do not apply unless we agree in writing.
Samples
Samples are produced to represent the proposed specification, not as a final production guarantee. Colour, texture, taste and fill may vary within normal manufacturing tolerances. Production specifications are locked only after written sample approval.
Lead times
Lead times run from written approval of artwork, specification and physical sample, and receipt of any deposit. Quoted dates are good-faith estimates. Delays caused by late approvals, incomplete documentation, raw-material shortages or events outside our control extend the lead time accordingly.
Payment
Payment terms are stated in the quotation or order confirmation. Unless agreed otherwise, production begins after the deposit clears. Late amounts may attract interest at the rate stated in the confirmation, or the maximum permitted by law.
Delivery and risk
Delivery terms follow the Incoterm stated in the quotation (FOB, CIF or DDP). Risk passes as stated in that Incoterm. Where DDP is quoted, we clear the goods for import; local taxes, duties and destination requirements are included only where the quotation says so.
Quality and claims
Each batch is released against a certificate of analysis. You should inspect goods promptly and notify us of any shortage, damage or specification issue within 14 days of delivery, with batch numbers, photographs and retained samples. We will investigate and, where the goods are non-conforming, repair, replace or credit them. This is the extent of our obligation for non-conforming goods.
Client responsibilities
You are responsible for the formula you supply, the claims and artwork you approve, your brand and intellectual property, and regulatory notification or registration in the destination market. We flag known compliance conflicts but do not provide legal advice, and approval of artwork does not transfer that responsibility to us.
Confidentiality
Each party will keep the other's non-public technical and commercial information confidential and use it only for the project. This does not apply to information that is public, independently developed, or required to be disclosed by law.
Liability
To the extent permitted by law, our total liability for a claim arising from an order is limited to the amount paid for the affected batch. We are not liable for indirect or consequential loss, including lost profit, lost sales or recall costs, except where the law does not allow that exclusion. Nothing in these terms excludes liability for death, personal injury or fraud.
Termination
Either party may terminate a project if the other commits a material breach and does not remedy it within 14 days of written notice. Termination does not affect payment for work already performed or rights that accrued before termination.
Governing law
These terms are governed by the laws of the jurisdiction in which EUPHM is established. The courts of that jurisdiction have exclusive jurisdiction, unless a signed contract states otherwise.
